Nuno Castelão has been part of Anta da Cunha Ecija & Associados since January 2025.
Nuno is admitted as a lawyer to the Portuguese Bar Association, the Brazilian Bar Association (São Paulo section) and the Law Society of England and Wales (solicitor of England and Wales). He has 25 years of experience in the financial sector, with an international career divided between Sao Paulo, London, Luxembourg and Lisbon. He has worked at ABN Amro Bank (Lisbon), Royal Bank of Scotland (London), VdA Vieira de Almeida (Lisbon) and Allen & Overy/A&O Shearman (London and Luxembourg).
He has extensive experience in the various legal aspects of financing transactions, both through bank loans (bilateral or bank syndicates) - including green loans and sustainability-linked loans – and through the domestic and international capital markets - including green bonds, sustainability-linked bonds, Euro Medium Term Notes (Reg S), Global Medium Term Notes (Rule 144-A), senior notes (Senior Preferred Notes), subordinated notes (Senior Non-Preferred Notes and High Yield Bonds), hybrid instruments to strengthen banks’ capital ratios (Additional Tier 1 and Tier 2) and asset backed securities (securitisations and covered bonds).
He has worked on complex international financing transsactions, including Private Equity/Leverage Finance, Acquisition Finance, Asset Finance, Real Estate Finance and Structured Finance structures and others to finance the day-to-day activity of corporates (working capital).
He has worked on restructurings of financing transactions (Liability Management) and on the restructuring of the capital stack of banks, having negotiated with the Bank of England and the Financial Stability Board the reconfiguration of the equity and own funds structure of the Royal Bank of Scotland to ensure compliance with the applicable MREL and TLAC requirements.
He has experience in banking and financial services regulatory.
He has also experience in leading the international strategy of law firms and in structuring and creating legal departments in banks.
