We remind you that the 31 March 2026 was the legal deadline for the approval of the annual accounts of commercial companies for the financial year 2025 for commercial companies that do not prepare consolidated accounts. Under the Portuguese Companies Code (Código das Sociedades Comerciais), the annual general meeting must be held within the first three months of each calendar year to resolve, among other matters, on the management report, the accounts for the preceding financial year and the proposal for the appropriation of profits.
The approval of the annual accounts is a statutory obligation, non-compliance with which may give rise to consequences at the level of the commercial registry and the liability of the members of the corporate bodies. It is therefore essential to ensure timely compliance with this obligation.
