Banking, Finance and Capital Markets<\/div>

The department is made of professionals with extensive experience in all legal aspects relevant to Portuguese and international credit institutions and financial companies operating in Portugal.<\/p>\n

From their incorporation process, to structuring and launching new financial products and services and day-to-day regulatory advice. We give support on all issues related to corporate responsibility (including ESG). We structure and draft all legal documentation for retail and investment banking.<\/p>\n

We advise our clients (financial or non-financial) on the design of their financing structures, namely structuring and negotiation of bank loans (bilateral or through bank syndicates) – including green loans and sustainability-linked loans – and accessing the national and international capital markets – including green bonds and sustainability-linked bonds.<\/p>\n

We work on complex international financing transactions, including Private Equity\/Leverage Finance, Acquisition Finance, Asset Finance, Real Estate Finance and Structured Finance structures and others to finance the day-to-day activity of corporates (working capital).<\/p>\n

Our team has unparalleled experience in structuring Euro Medium Term Notes (Reg S), Global Medium Term Notes (Rule 144-A), Covered Bonds, Euro Commercial Paper and Certificates of Deposit programmes and in advising on issuances of senior notes (Senior Preferred Notes), subordinated notes (Senior Non-Preferred Notes and High Yield Bonds) and hybrid (AT1 and Tier 2).<\/p>\n

Our team\u2019s experience includes advising on public and private offers of securities, with admission to trading on the regulated markets and on the main European stock exchanges (London, Dublin and Luxembourg).<\/p>\n

We also have skills in the restructuring of financing transactions (Liability Management).<\/p>\n

We work with Collective Investment Companies, Investment Funds and Venture Capital Companies.<\/p>\n

We draft and negotiate the main types of risk hedging instruments, namely derivatives, including swaps, options, futures and forwards.<\/p>\n
